Eatsy Terms of Use

Welcome to Eatsy! These Terms of Use (the "Terms") constitute a legal agreement between you (the "User" or "you") and Eatsy Inc. (食樂科技股份有限公司) ("Eatsy" or "we"), governing all of your conduct on the Eatsy platform (the "Platform" or the "Service").

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all or any part of these Terms, please cease using this Platform.

0. Reading and Obtaining These Terms

These Terms are made public before you agree to them, so that you may read them in full before deciding.

- The full text of these Terms is permanently available to the public at partners.eatsy.tech/legal/terms-of-service, and may be read without logging in and without first creating a reservation.
- The consent options that appear during the reservation or payment flow each include a link to these Terms; you may leave the flow to read them at any time before submitting, and the information you have already entered during the flow will not be lost as a result.
- You may write to info@eatsy.tech to request a copy of these Terms, which we will provide in electronic form.
- The version number and effective date of these Terms are set out on this page; for the manner in which amendments are notified and take effect, see Section 12.2.

Where, under the Consumer Protection Act or other laws, you enjoy a statutory review period or other rights with respect to these Terms, nothing in these Terms shall exclude or limit such rights.

1. Overview of the Service

Eatsy is a platform providing restaurant reservations and the sharing of dining experiences. Users may make restaurant reservations, register for waitlists, join on-site queues, place takeout pre-orders, and use other related services (without limitation), browse restaurant information, post reviews and photos, and take part in related interactive features through the Platform.

The Platform also provides reservation-related management and optimization features, including but not limited to reservation-condition settings, performance management, and reservation-flow optimization. Eatsy provides only information and technical services; it does not participate in the restaurants' actual operations, dining services, or the performance of transactions, and is not responsible for the content, quality, or performance of the services provided by the restaurants.

2. User Eligibility

This Service is primarily intended for use by persons with full legal capacity.

Where a person under 18 years of age uses this Service, the consent or ratification of a statutory agent shall be required in accordance with the Civil Code; where a statutory agent makes a reservation or gives consent on such person's behalf, its effect shall be determined in accordance with the Civil Code.

We do not require you to provide your age during the reservation flow, nor do we perform age verification. The provisions of this Section do not thereby alter the effects arising under the Civil Code.

2.2 Making Reservations on Behalf of Others

You may make a reservation on behalf of another person. In such a case, you shall:

- Obtain in advance that person's consent for you to provide their name, contact information, and other necessary data
- Inform that person of these Terms and of the reservation conditions disclosed by the relevant restaurant (including deposit and refund rules)

If the reservation conditions require a credit card to be provided, you may only use a credit card that you are yourself authorized to use.

2.3 Duty to Comply with the Law

You agree that, during your use of this Service, you will comply with all applicable laws and regulations and with the provisions of these Terms.

2.4 Personal Data of Minors

We do not actively collect the personal data of minors.

If we become aware that personal data in our possession was provided by a minor without the proper consent of a statutory agent, we will delete such data within a reasonable period. A statutory agent may write to info@eatsy.tech to submit an inquiry or a request for deletion.

3. Account Registration and Security

3.1 Registration Information

When registering an account, you shall provide true, accurate, and complete personal information, and shall promptly update it when it changes, so that the Platform can provide its services normally.

If the information you provide is untrue, incorrect, or incomplete, Eatsy may suspend or restrict your use of some or all of the Service.

3.2 Account Security

You shall properly safeguard your account information (including your account name and password) and shall be responsible for all activity under that account.

Except for causes attributable to Eatsy, Eatsy shall not be liable for any loss or damage arising from unauthorized use of the account. If you discover any anomaly or unauthorized use of your account, you shall notify Eatsy immediately.

4. User Conduct

4.1 Lawful Use

You agree that, when using this Service, you will comply with all applicable laws and regulations and with these Terms, and will not engage in any unlawful, improper, or rights-infringing conduct, including but not limited to:

- Posting or disseminating false, misleading, or inaccurate information;
- Posting content that infringes the rights of others, including defamatory, discriminatory, threatening, or privacy- or reputation-infringing content;
- Posting content that contains violence, obscenity, pornography, hatred, or that is offensive;
- Uploading viruses or malicious programs, or engaging in any conduct that damages the Platform's systems;
- Engaging in unauthorized commercial promotion, advertising, or solicitation;
- Collecting, extracting, or using the personal data of other users by any means;
- Interfering with, or attempting to interfere with, the normal operation or security mechanisms of the Platform.

4.2 Assumption of Liability and Handling of Violations

You shall be fully responsible for all of your conduct on the Platform and for all content you post.

If your violation of these Terms or of applicable laws causes damage to Eatsy or to a third party, you shall bear the relevant legal liability and compensate for the damage sustained (including reasonable attorneys' fees and litigation costs).

Eatsy may, according to the severity of the circumstances, take appropriate measures against violations, including but not limited to:

- Restricting certain account functions
- Suspending or terminating the right to use the account
- Removing or taking down the relevant content

The above measures do not affect Eatsy's assertion of other rights under the law.

5. User-Generated Content

5.1 Posting of Content and Responsibility

Users may post reviews, images, and other dining-related content on the Platform. You represent and warrant that the content you post is created by you or has been lawfully licensed, and does not infringe any third party's intellectual property rights, privacy rights, or other rights.

You shall be fully responsible for the legality, truthfulness, and lawfulness of the content you post.

5.2 License Grant

When you post content on the Platform, you grant Eatsy a royalty-free, worldwide, perpetual, non-exclusive, and sublicensable right to use, reproduce, publicly display, adapt, edit, distribute, and promote such content for the purposes of operating the Platform, providing the Service, and optimizing it.

Unless otherwise agreed, the foregoing license continues in effect after you delete the content or terminate your account; however, Eatsy will, in accordance with actual operational needs, reasonably cease further use of such content.

5.3 Content Management

Eatsy may review, modify, hide, or remove user content for the purposes of legal compliance, Platform policy, or maintaining service quality, without prior notice.

If user content violates these Terms or applicable laws and regulations, Eatsy may further take corresponding measures against that user, including but not limited to restricting account functions and suspending or terminating the Service.

6. Restrictions on Use of the Platform

6.1 Prohibited Conduct

You shall not engage in any conduct that interferes with the normal operation of the Platform or infringes the Platform's rights and interests, including but not limited to:

- Performing reverse engineering, decompilation, or attempting to obtain the Platform's source code;
- Accessing, modifying, or using the Platform's systems or data without authorization;
- Using automated tools (such as bots or crawlers) to access or operate the Platform on a large scale;
- Damaging, interfering with, or affecting the Platform's security mechanisms or normal operation by any means.

6.2 Service Adjustments and Interruptions

Eatsy may, for reasons of system maintenance, technical upgrades, operational adjustments, or other reasonable causes, at any time modify, suspend, or terminate some or all of the Platform's functions, without thereby incurring liability to compensate users.

However, this shall not apply where such is caused by gross negligence attributable to Eatsy.

The foregoing service adjustments or terminations do not affect reservations, payments, or other legal rights and obligations already established by users prior to the adjustment.

7. Reservations and Performance Management

7.1 Reservation Flow and Formation

After a user submits reservation information (such as date, time, and number of persons), the reservation shall be deemed formed only after it has been completed in accordance with the conditions displayed by the restaurant or the Platform (for example, confirmation or payment of a deposit). Some reservations may require a further confirmation procedure before they can be completed.

7.2 Reservation Conditions and the Deposit Mechanism

In order to reduce the risk of no-shows and maintain service quality, restaurants may set conditions according to the reservation situation, including but not limited to:

- Collecting a deposit
- Requiring you to provide a credit card and retaining a card token as the basis for a charge in the event of a no-show
- Requiring advance confirmation of the reservation
- Restricting reservations for particular time slots, dates, or conditions

The above conditions will be disclosed during the flow before you submit your reservation, and you may choose whether to accept them.

For the manner in which credit cards are handled, the retention period, the timing of capture, and the refund rules, see Section 8.

7.3 Performance Records and Arrival Prediction

1. Your performance record for reservations under this Service (including whether you arrived on time, canceled, did not show up, whether you confirmed a waitlist spot once offered, or missed your turn in an on-site queue) is compiled using your contact telephone number as the basis for identification, covering your records at all restaurants that use the Service, and will be retained and used in accordance with the "Eatsy Privacy Policy".
2. Eatsy may, based on the records described in the preceding item, predict the likelihood that you will arrive as agreed, and provide the prediction result to the restaurant with which you make a reservation; the restaurant will not thereby learn at which restaurants you have made reservations or arrived.
3. The restaurant may choose whether to determine the conditions applicable to your reservation based on the prediction result, including requiring payment of a deposit, provision of a credit card, or advance confirmation, restricting the time slots or party sizes available for reservation, or declining that reservation; whether to use the prediction result and which conditions apply are decided by the restaurant and will be disclosed before you submit your reservation.
4. Predictions are statistical estimates, and Eatsy does not guarantee their accuracy. The method of prediction is determined by Eatsy and may be adjusted; an adjustment that does not expand the scope of use set out in this Section does not constitute a material amendment under Section 12.2.
5. Restaurants may themselves enable the "automatic no-show flagging" feature and set their own thresholds. When the number of your no-shows at the same restaurant reaches the number set by that restaurant, the system will automatically add a flag to you; if that restaurant has also enabled "reject reservations from flagged customers," subsequent reservations you submit to that restaurant will be automatically rejected by the system. The foregoing flagging and rejection take effect only within the scope of that restaurant.
6. If you believe the foregoing records, prediction result, or flag is erroneous, you may request human review in the manner set out in the "Eatsy Privacy Policy".

7.4 No-shows and Cancellations

If a user does not arrive at the agreed time and does not cancel the reservation within a reasonable time, that situation may be treated as non-performance (no-show).

The Platform or the restaurant may, in accordance with its policies or reservation conditions, take corresponding measures, including but not limited to:

- Charging the corresponding amount against the deposit already paid or the credit card already retained, in accordance with the provisions of Section 8
- Affecting the conditions of your subsequent reservations, in accordance with the provisions of Section 7.3
- Restricting certain reservation functions

7.5 Reservation Restrictions and Adjustments

Under reasonable circumstances (including but not limited to abnormal use, suspected abuse of the reservation mechanism, use of automated tools to make reservations, or situations that affect the normal operation of the Platform), the Platform may adjust, restrict, or refuse the relevant reservation requests.

The Platform may also, under the foregoing circumstances, cancel, change, or restrict the relevant reservations, without prior notice.

7.6 Exceptions and System Adjustments

Due to system anomalies, technical problems, adjustments on the restaurant's side, or other causes not attributable to the Platform, an already-formed reservation may be adjusted or canceled. In such a case, the Platform will use reasonable efforts to help notify the user and provide necessary assistance, but does not guarantee that the reservation will necessarily be performed.

7.7 Waitlist Registration and On-site Queue

Waitlist registration does not guarantee that a place will become available. When a place becomes available, you shall confirm within the deadline notified by the restaurant, failing which you shall be deemed to have waived it. The calling, skipping, and holding of numbers in an on-site queue are handled in accordance with the restaurant's rules.

7.8 Consumption Preference Records and Personalized Recommendations

1. Consumption preference records (for example, seating preferences and ordered items) arising from reservations you submit yourself on the Eatsy booking page may be retained and used by Eatsy in accordance with the "Eatsy Privacy Policy" for the following purposes, and are not deleted by reason of an individual restaurant ceasing to use the Service:
(1) providing them to the restaurant you book with, for reference in serving you;
(2) recommending restaurants, time slots, or services to you within the Service based on your reservation history and preferences;
(3) improving the Service.
2. When making recommendations under sub-item (2) of the preceding item, Eatsy does not provide your reservation history or preferences at other restaurants, or the names of restaurants you have booked with, to the recommended restaurant; the information that restaurant needs is provided only through the ordinary booking flow when you book with it.
3. You may at any time, in the manner set out in the "Eatsy Privacy Policy", ask us to stop using your data for personalized recommendations; this does not affect your use of the reservation service. Recommendations actively sent to you by text message, email, or similar means require your consent under Section 3, item (4) of the "Eatsy Privacy Policy".
4. Consumption preference records arising from reservations created by a restaurant on your behalf are for that restaurant's use only.
5. Health and allergy information you provide is not used for personalized recommendations and is only passed on to the restaurant you book with.

8. Payment, Deposits, and Refunds

This Section explains the roles of the various parties and your rights when you make a payment for a reservation.

8.1 Eatsy's Role in the Payment Flow

The deposit or other amounts you pay for a reservation are collected by the restaurant, in its own name, into a merchant account it has applied for from a payment service provider, and are disbursed directly to the bank account designated by that restaurant.

Eatsy is not the payee of that amount, nor does it hold or keep that amount.

With respect to the provision of dining services, the conditions for collecting deposits, and the handling of refunds and disputes, the contractual relationship exists between you and the restaurant. Eatsy provides the technical interface for reservations and payments, and provides necessary customer-service assistance within a reasonable scope.

8.2 Payment Service Provider

Credit-card collection for this Service is handled by a third-party payment service provider. That provider performs authorization, capture, and refund operations pursuant to its merchant relationship with the restaurant.

8.3 Handling of Credit-Card Data

- When you enter your card number, you fill it in directly within a separate input interface provided by the payment service provider. The card number, expiry date, and the last three digits on the back of the card are not transmitted to Eatsy's servers, and Eatsy does not store this data.
- Eatsy only obtains and retains payment identifiers returned by the payment service provider (for example, the card token, transaction identifier, last digits of the card number, and cardholder's name) and account information needed to process refunds, for use in subsequent capture and refund operations. Eatsy never collects or holds the full card number, expiry date, or card security code.
- When binding a card, 3D verification will be carried out as required by the card issuer.

8.4 Two Ways of Providing a Credit Card

When the reservation conditions require you to provide a credit card, this Service may use one of the following two methods. Which one is actually used will be disclosed during the flow before you submit your reservation.

There is only one difference between the two, but that difference is important: a pre-authorization ties up your credit limit, whereas retaining a card token does not.

(1) Retaining a Card Token

- Only a single token is retained for later capture
- Does not freeze or tie up your credit limit
- Does not produce any charge or pending item on your credit-card statement

(2) Pre-authorization

- The card issuer places an authorization hold on a specified amount
- Will tie up that amount of your credit limit during the authorization period
- Your credit-card statement or the card issuer's app may show a "pending" or "temporary hold" item. That item is not a completed purchase
- If the authorization period expires without capture, the card issuer releases it and the credit limit is restored accordingly; the actual time of restoration depends on your card issuer, and neither Eatsy nor the restaurant can control it

In either case, you will only actually be charged in the circumstances set out in Section 8.5 and after the restaurant has confirmed the amount; the amount charged shall not exceed the amount payable that you saw during the reservation flow.

Before agreeing to provide a credit card, please also read Section 8.5 and Section 8.6.

8.5 When You Will Be Charged

Your retained card will only be charged in the following circumstances, and after the restaurant has confirmed the amount in its management console:

- You did not arrive at the agreed time and did not cancel the reservation within the deadline set by that restaurant
- Other amounts that may be collected under the reservation conditions already disclosed by that restaurant during the reservation flow

The amount charged shall not exceed the amount payable that you saw during the reservation flow.

8.6 Release of the Hold

This Section applies to both methods in Section 8.4. A pre-authorization is additionally released by the card issuer of its own accord when the authorization period expires without capture; that release requires no action by Eatsy or the restaurant, and its timing is likewise determined by the card issuer. The following are the release rules on Eatsy's side:

- Where you arrive as agreed and complete your meal, we will, as a routine operation starting 2 days after the dining date, release the hold on that card token and remove it from the system.
- Where you cancel the reservation and a full refund is available under the rules in Section 8.7, the card token is released at the time of cancellation.
- If there are amounts not yet settled or a dispute not yet resolved (for example, a no-show for which the deposit has not yet been fully processed), that card token will be retained until the relevant amounts have been fully processed.

In any of the foregoing circumstances, you may write to info@eatsy.tech to request that we explain the reason for the hold or to request release of the hold.

8.7 Refund Rules

- Whether a refund is available, and what proportion is refundable depending on when the cancellation occurs, are set by the restaurant itself and disclosed during the flow before you submit your reservation.
- A refund may have deducted from it the handling fee charged by the payment service provider; that handling fee is disclosed together within the foregoing refund rules.
- Refunds are always returned to the credit card originally used for payment. If, for some reason, a refund to the original card is not possible, we will contact you to arrange otherwise.
- After a refund instruction is issued, the time at which the funds are actually credited depends on your card issuer, and neither Eatsy nor the restaurant can control it.

8.8 How to Apply for a Refund

At present, you cannot apply for a refund yourself on the reservation page. To apply, please use one of the following methods:

- Contact the restaurant directly
- Write to info@eatsy.tech, and we will help relay the request to that restaurant and track the progress of the handling

8.9 Payment Disputes

If you have a question about any amount, please first contact the restaurant, or write to info@eatsy.tech. We will help clarify the matter within a reasonable period and provide the transaction records in our possession.

The foregoing procedure does not affect or limit your right to file a transaction dispute (chargeback) in accordance with the rules of your card issuer.

8.10 Uniform Invoices

- Eatsy does not issue a uniform invoice for the deposit you pay or for your dining consumption.
- The uniform invoice shall be issued by the restaurant that provides the dining services, in accordance with tax laws. If you need an invoice, or need to have a unified business number or carrier recorded on it, please make the request directly to that restaurant.
- Eatsy only issues invoices for the platform service fees it collects from restaurants, which does not concern you.

8.11 Deposits Paid by Bank Transfer

Some restaurants collect deposits by bank transfer. Such amounts are transferred directly into the account designated by the restaurant, and refunds are likewise handled by the restaurant by bank transfer; Eatsy does not handle these amounts at all, and the provisions of Section 8.2 through Section 8.9 concerning credit cards do not apply to such situations.

8.12 Your Statutory Rights Are Unaffected

The provisions of this Section do not exclude or limit the rights you enjoy under the Consumer Protection Act and other laws of the Republic of China.

9. Data Protection and Privacy

The Platform will collect, process, and use users' personal data — including but not limited to basic data, reservation records, and performance records — in accordance with the Privacy Policy, in order to provide reservation services, performance management, and an optimized user experience.

The collection, use, and protection of the relevant data shall be handled entirely in accordance with the "Eatsy Privacy Policy".

For the circumstances in which your personal data is transferred for processing outside the Republic of China (Taiwan), the use of reservation performance records, and the channel for human review, please refer to the "Eatsy Privacy Policy". For the cookies and tracking technologies used on this website, please refer to the "Eatsy Cookie and Tracking Technologies Policy".

10. Limitation of Liability

10.1 Nature of the Platform and Third-Party Services

Eatsy serves only as an information and technical service platform, providing reservation matching and related management features, and does not participate in the restaurants' actual operations, dining services, or the performance of transactions.

The goods and service content provided by restaurants, and their performance, are the sole responsibility of the respective restaurant. If any consumer dispute arises between a user and a restaurant, the two parties shall resolve it through their own negotiation; Eatsy will provide necessary assistance within a reasonable scope, but does not bear the relevant liability.

10.2 Provision of the Service and Disclaimer

This Service is provided on an "as is" and "as available" basis. Eatsy makes no express or implied warranty as to the uninterrupted nature, timeliness, accuracy, completeness, or fitness for a particular purpose of the Service.

To the maximum extent permitted by law, Eatsy shall not be liable to compensate for damage arising from the following:

- System failures, maintenance, or upgrades
- Network interruptions or anomalies in third-party services
- Force majeure events (such as natural disasters, governmental acts, etc.)
- Causes not attributable to Eatsy

However, this shall not apply where such is caused by Eatsy's intent or gross negligence.

10.3 Limitation of Liability for Damages

To the maximum extent permitted by law, Eatsy shall not be liable to compensate for any indirect, incidental, special, or consequential damages (including but not limited to loss of business, loss of profits, or loss of data) arising from the use of, or inability to use, this Service. However, this shall not apply where such is caused by Eatsy's intent or gross negligence.

11. Service Interruptions and Technical Maintenance

Eatsy will use reasonable efforts to maintain the normal operation of the Platform, but does not guarantee that the Service will be free of interruptions or completely error-free.

Eatsy shall not be liable to compensate for service interruptions or suspensions caused by system maintenance, technical updates, equipment anomalies, or other force majeure factors. However, Eatsy will, within a reasonable scope, restore the Service as promptly as possible and reduce the impact on users.

12. Changes to the Service and Updates to the Terms

12.1 Changes to the Service

Eatsy may, for reasons of operational needs, technical adjustments, or other reasonable causes, at any time modify, adjust, suspend, or terminate all or part of the Service's functions.

In the foregoing circumstances, Eatsy will provide notice within a reasonable scope; however, in emergencies or under force majeure factors, it may do so without prior notice.

12.2 Updates to the Terms

Eatsy may amend these Terms, and shall notify you by Platform announcement and by electronic means thirty (30) days before the effective date of the amendment.

Except for the material amendments listed below, your continued use of the Service after the amendment takes effect shall be deemed to constitute your having read, understood, and agreed to be bound by the amended Terms. If you do not agree, you shall cease using the Service.

An amendment is a material amendment if it falls under any of the following:

1. Substantially changes the rules for handling deposits, pre-authorizations, refunds, or payment disputes;
2. Substantially expands the scope of collection, processing, or use of your personal data;
3. Adds fees that you are to bear;
4. Otherwise has a materially adverse effect on your rights and obligations.

A material amendment takes effect with respect to you only after you have expressly indicated your consent on the Platform; until you indicate your consent, the version prior to the amendment continues to apply.

12.3 Effect on Established Rights and Obligations

Adjustment, suspension, or termination of the Service does not affect reservations, payments, or other lawfully established rights and obligations of users established prior to the change.

13. Termination of Service

13.1 Termination by the User

You may at any time apply to terminate your account and cease using the Service. You may contact Eatsy customer service in the manner provided by the Platform to submit an application, and we will complete the processing within a reasonable period.

13.2 Termination or Restriction by the Platform

In any of the following circumstances, Eatsy may, according to the severity of the circumstances, restrict, suspend, or terminate your right to use the account, and may do so without prior notice:

- You violate these Terms or applicable rules;
- Your conduct causes, or is likely to cause, damage to the Platform, other users, or third parties;
- You engage in unlawful conduct or improperly use the Service;
- It is necessary, upon reasonable judgment, to maintain the security or normal operation of the Platform or the interests of other users.

13.3 Handling After Termination

After the account is terminated, you will be unable to continue using the relevant features of the Service.

Eatsy may cease providing the Service and handle the relevant account data, including deleting or anonymizing user data, except where retention is required by law or is necessary to perform a legal obligation.

13.4 Limitation of Liability

To the extent permitted by law, Eatsy shall not be liable to compensate for any inconvenience or loss arising from account termination or service restriction. However, this shall not apply where such is caused by Eatsy's intent or gross negligence.

13.5 Effect on Established Rights and Obligations

Account termination or service restriction does not affect reservations, payments, or other lawfully established rights and obligations established prior to the termination.

14. Governing Law and Dispute Resolution

14.1 Governing Law

The interpretation, validity, and performance of these Terms, as well as any dispute arising from or in connection with these Terms, shall be governed by the laws of the Republic of China (the laws of Taiwan).

14.2 Amicable Negotiation

For any dispute arising from or in connection with these Terms, the parties shall first seek to resolve it through negotiation in accordance with the principle of good faith. During the negotiation period, apart from the disputed matters, both parties shall continue to perform the other, undisputed parts of these Terms.

14.3 Dispute Resolution Mechanism

If the parties are unable to reach consensus through negotiation within a reasonable period (in principle, thirty days), the parties agree that the Taiwan Taipei District Court shall be the court of first instance. However, where another court has jurisdiction under Article 47 of the Consumer Protection Act or other laws, you may bring an action in accordance with such provisions; nor does this Section affect your right to file a complaint or apply for mediation under the Consumer Protection Act.

14.4 Language Versions

These Terms shall be governed by the Traditional Chinese version.

Eatsy also provides versions in English, Japanese, and other languages, for convenience of reading only. In the event of any discrepancy in meaning among the language versions, or any error or omission in a translation, the Traditional Chinese version shall prevail.

The foregoing provision does not exclude or limit the rights you enjoy under the mandatory laws of your location.
